Supreme Court affirmative action rulings and sweeping government executive actions have consistently targeted diversity, equity, inclusion, belonging and access initiatives in the public and private sectors. This final in person session will cover the latest legal developments and offer suggestions for nonprofits to navigate a course in this landscape, remaining true to their missions and the people and communities they serve, while mitigating risk to their organization.

After Lloyd's presentation, The Rutgers Law School Community & Transactional Lawyering Clinic will provide pro bono legal services to participating organizations and leaders. Under the supervision of licensed attorneys, Rutgers Law students will assist with a range of transactional and organizational legal matters designed to strengthen nonprofit governance, compliance, and sustainability.

Services may include:

Bylaw Review and Revision – Reviewing existing bylaws to ensure they reflect current governance practices and recommending revisions to improve clarity, compliance, and board effectiveness.

Corporate Governance Guidance – Advising on board structure, officer roles, committee formation, and governance policies to strengthen organizational accountability and oversight.

Nonprofit Formation Support – Assisting new organizations with entity formation, including preparing incorporation documents and providing guidance on obtaining federal tax-exempt status.

Policy Development – Drafting or reviewing key organizational policies such as conflict of interest policies, whistleblower policies, and document retention policies.

Contract Review – Reviewing partnership agreements, vendor contracts, and service agreements to identify risks and ensure alignment with the organization’s interests.

Compliance Guidance – Providing guidance on nonprofit regulatory compliance, including state registration requirements and basic federal nonprofit obligations.

All services are provided at no cost to participants, as part of the clinic’s educational mission to train future lawyers while supporting community organizations that advance the public good.

Open to anyone working in the nonprofit/ social impact sector, BIPOC leaders, allies, board members, staff, volunteers, and more.
